Practice areas

Focused counsel for healthcare business relationships.

Eli advises healthcare organizations and the businesses that serve them on transactions, contracts, and purchasing relationships. Group purchasing and healthcare supply chain work are a particular focus.

GPOs

Group purchasing organizations

GPO relationships involve more than price. Their agreements allocate obligations among the GPO, suppliers, members, and sometimes affiliates or other participants. Eli advises on GPO program structure, supplier and member agreements, administrative fee arrangements, participation and shareback provisions, affiliate programs, and the regulatory questions that accompany these relationships.

Contracts

Healthcare supply chain and contracting

Healthcare purchasing and vendor contracts can create operational obligations and risk outside the pricing schedule. Eli negotiates and structures supply, services, technology, equipment, and other commercial agreements, including direct member contracts that supplement GPO arrangements. His review addresses how the documents fit together and which party is responsible for performance, indemnity, insurance, data, and other material terms.

Strategy

Strategic transactions and business relationships

Eli helps clients evaluate and document new relationships, programs, and transactions. He works with business teams to define the intended arrangement and translate it into terms that can be implemented and managed.

Regulation

Regulatory considerations

Healthcare transactions often require analysis of the federal Anti-Kickback Statute and applicable exceptions and safe harbors, along with other laws relevant to the parties and structure. Eli brings those issues into the contracting process so commercial and legal decisions are considered together.
